Fred Braman discusses the evolving nature of restrictive covenants (non-competition provisions) in the context of modern business including their use in the areas of employment/partnership and sale of business, and their evolving use for strategic alliance agreements. The author points out potential pitfalls and attempts to trace appropriate reference points for the drafting of such provisions. Particular mention is made of developments in Quebec following Quebec's new Civil Code in 1994.
